Constitution of NaturismR Organisation

Article 1: Name

The name of the organisation shall be NaturismR, hereinafter referred to as the "Organisation."

Article 2: Purpose

NaturismR is established as a religious, charitable, and social organisation dedicated to promoting Naturism as a way of life, aligning with spiritual and philosophical values, fostering connection with nature, and promoting the well-being of individuals and communities. The Organisation’s activities shall reflect the following purposes:

  1. Religious Purpose: To promote Naturism as a way of life that emphasises spiritual connection to nature, fostering a belief in Nature as the supreme omnipresent force responsible for life and universal balance.

  2. Charitable Purpose: To support initiatives that promote environmental conservation, body positivity, and sustainable living, providing aid and resources to communities in need.

  3. Social Purpose: To create inclusive and supportive communities that embrace Naturism, offering social spaces, activities, and events that promote respect and freedom of self-expression.

Article 3: Values and Principles

NaturismR operates under the following guiding values:

  1. Respect for Nature: Committed to environmental protection.

  2. Body Acceptance: Advocates body positivity and respect for all individuals.

  3. Freedom of Expression: Supports free and open self-expression through Naturism.

  4. Community and Solidarity: Promotes inclusivity and collaboration among members.

  5. Education and Awareness: Focuses on raising awareness about Naturism, environmental sustainability, and personal well-being.

Article 4: Legal Status

NaturismR shall operate as a religious or charitable organisation, registered under the relevant legislation in Australia, including compliance with the Australian Charities and Not-for-profits Commission (ACNC) regulations.

Article 5: Membership

Section 1: Membership Eligibility

Membership in NaturismR is open to individuals who:

  1. Align with the values and principles of the Organisation;

  2. Practice or support Naturism and the Organisation’s religious, charitable, or social objectives.

Section 2: Types of Membership

  1. General Members: Individuals who support and practice the principles of Naturism.

  2. Religious Members: Individuals who acknowledge the spiritual aspects of NaturismR.

  3. Charitable Members: Individuals who support the Organisation's charitable initiatives.

  4. Honorary Members: Individuals or organisations recognised for their significant contributions.

Section 3: Rights of Members

Members are entitled to:

  1. Participate in Organisation activities and events;

  2. Vote in Organisation elections and decision-making processes;

  3. Access benefits such as discounts and educational resources.

Article 6: Governance

Section 1: Leadership Structure

NaturismR shall be governed by a Council of Elders, which includes:

  1. Founder & Elder: The spiritual leader and operational head of the Organisation.

  2. Council Members: A group responsible for guiding the Organisation’s strategy and activities.

Section 2: Roles and Responsibilities

  1. Founder & Elder: Oversees religious, social, and charitable objectives.

  2. Council Members: Responsible for decision-making, event management, and supporting members.

Section 3: Meetings

  1. Annual General Meeting (AGM): Held once a year to review activities, finances, and goals.

  2. Special Meetings: Convened as needed by the Council or membership.

  3. Decision-Making Process: Decisions are made by majority vote of the Council, with input from members.

Article 7: Finances

Section 1: Financial Management

  1. The Organisation shall raise funds through membership fees, donations, sponsorships, and the sale of merchandise.

  2. Funds shall be managed to support activities, charitable initiatives, and operations.

  3. The Council shall ensure financial transparency, with annual financial reports presented to members.

Section 2: Distribution of Surplus

As a not-for-profit organisation, any surplus funds shall be reinvested into the Organisation to further its charitable, religious, and social goals.

Article 8: Activities and Programs

NaturismR shall organise activities and programs aligned with its objectives, including:

  1. Religious Gatherings: Celebrations and events focused on Naturism as a spiritual practice.

  2. Charitable Initiatives: Programs that promote environmental conservation, body positivity, and community-building.

  3. Social Events: Community events and gatherings that foster relationships and celebrate the Naturist way of life.

Article 9: Amendments

Amendments to this Constitution may be proposed by any member and shall be approved by a majority vote of the Council during the AGM or a Special Meeting.

Article 10: Dissolution

In the event of dissolution, any remaining assets of NaturismR shall be distributed to a charitable organisation aligned with its values or to a recognised naturist organisation, as determined by the Council.

Article 11: Liability of Members and Officers

Section 1: Limited Liability

  1. Members’ Liability: The liability of each member of the Organisation is limited to a maximum of $10. No member shall be required to contribute more than $10 towards the liabilities, debts, or obligations of the Organisation in the event of dissolution or legal claims against the Organisation.

  2. Council Members’ and Officers’ Liability: The liability of Council members and officers of the Organisation is also limited. They shall not be held personally responsible for the Organisation's debts or legal obligations beyond the amount of $10, provided that they have acted in good faith and within the scope of their duties.

Section 2: Indemnity

  1. Indemnification of Officers: The Organisation shall indemnify its Council members and officers against any liabilities incurred in the performance of their duties, except in cases of fraud, gross negligence, or intentional misconduct.

Section 3: Insurance

  1. Liability Insurance: The Organisation may obtain liability insurance to protect itself, its Council members, officers, and employees from potential legal claims or financial obligations.
